Q: What is Golf Club of the Everglades?

A: Golf Club of the Everglades is a private equity golf club. The Club provides members with privileges to use the golf, dining, lounge, and other facilities of the Club. Guests and family members also have Club privileges. No residential development is planned, no swimming pools, no tennis courts.

Q: Who developed Golf Club of the Everglades?

A: Golf Club of the Everglades was developed by Golf Club of the Everglades, LTD., a Florida limited partnership. Many of the individuals and companies who were involved in the development of Olde Florida Golf Club are members of the team of Golf Club of the Everglades as well.

Q: Who developed Golf Club of the Everglades?

A: The golf facilities consist of an 18-hole Rees Jones designed championship golf course with practice area (including putting green, practice bunkers, short game practice area, and driving range). Rees is the designer of Olde Florida Golf Club, Haig Point, Atlantic Golf Club, Pinehurst #7, and Nantucket Golf Club. He also redesigned The Country Club at Brookline and Hazeltine for the United States Open.

The Clubhouse features the "Old Florida†style and architecture and provides gracious accommodations. Contained within the clubhouse are men's and women's locker rooms, grill and lounge, golf shop, administrative offices, cart and bag storage. The fare is simple, the drinks generous and the service excellent.

Club of the Everglades, Ltd. owns all the land on which the golf course and related facilities are constructed. Use of the Club facilities are governed strictly by the Club Rules and Regulations, ensuring that an enjoyable atmosphere is maintained at all times and that members and their guests obtain maximum use and enjoyment of the Club. The Club employs professional management and staff to operate the club facilities, and to provide instruction and activities for members.
 

Q: What are the benefits of the Club being a member-owned equity Club?

A: A member-owned equity Club will ultimately enable you, as a member of the Club, to control the Club through your right to vote. You will also have an ownership interest in the Club. The operation of the Club and facilities are undertaken by a Board of Directors, which will ultimately be elected by the equity members. As a result of member control and continuity, the Club will reflect the character of its membership which in turn will create increased participation and cohesiveness among the membership. In addition, a member-owned Club alleviates the uncertainty about who will control the facilities over the long term.

Q: Who is able to acquire membership in the Club?

A: Golf memberships will be offered only to persons approved for membership in the Club.

Q: Are there limitations in the number of memberships?

A: Yes, the number of memberships will be strictly limited. The Club will offer a maximum of 272 Golf Memberships in addition to the 28 Founding Members.

Q: What are the privileges of a Golf Membership?

A: Golf Members are able to use all of the golf and clubhouse facilities of the Club on a year-round basis. Golf Members do not pay any greens fees for use of the golf facilities, but are required to pay golf cart fees or for caddie services and annual dues. Golf Members have one vote per membership certificate on matters to be voted on by the Equity members of the Club.

Q: Are members of my family entitled to use my membership privileges?

A: Only the member has the full privileges of membership in the Club. However, immediate family members have special Guest privileges, including reduced greens fees in season (November 15 - April 15), no greens fees for the remainder of the year, and liberal use of the facilities other than the golf course. A member's immediate family includes the member's spouse, children, and parents.
 

Q: Are my guests able to use the Club facilities?

A: Yes. Members may invite guests of use the facilities of the Club upon payment of the applicable guest charges and in compliance with the Club Rules relating to guests. The Club Rules may limit the guest use of the facilities in order to ensure maximum availability of the facilities to members. The sponsoring member will be responsible for all charges incurred by guests.


Q: Is any part of the Membership Contribution refundable?

A: Yes. Resigning Golf Members will be paid, after the Golf Member resigns and is replaced by a new Golf Member, 80% of the Membership Contribution paid by the replacement Golf Member.

Q: When will the Club purchase my membership?

A: Until all 272 Golf Memberships have been issued, resigned Golf Memberships are placed on a waiting list for repurchase by the club in order of resignation. During this period, the Club will purchase one Golf Membership for every five Golf Memberships issued. Once all 272 Golf Memberships have been issued, a resigned Golf Membership on the waiting list will be repurchased by the club as each new Golf Membership is issued. Memberships are transferable only through the Club, and then only to persons approved by the Club.

Q: What about assessments?

A: The Board of Directors may find it necessary to make assessments, in addition to dues, to cover operating deficits. Assessments to cover operating deficits will be prorated among the members based upon the amount of dues payable by each member during the year.

Q: Who is responsible for the operation of the Club?

A: The Club is governed by the Board of Directors. The Board of Directors is responsible for the government and administration of the affairs of the Club and generally has the authority to accept members, set dues and charges, establish rules and regulations and, in general, control the management and affairs of the Club.

Q: How are members of the Board of Directors selected?

A: Initially, the Founding Members designated all members of the Board of Directors. Each of the Founding Members are able to remain a Director for as long as the Founding Member chooses to serve and remains a member of the Club. Also, the Founding Members control the Board of Directors until all Equity Memberships in the Club have been issued. Thereafter, as the Founding Members leave the Board, the composition will gradually shift to a Board composed entirely of Directors elected by the Members.


Q: Will the Club be subject to a mortgage after all Equity Memberships have been issued?

A: After all Equity Memberships have been issued, the Club will be subject to a mortgage in the amount of $3million payable to the Golf Club of the Everglades, LTD. Golf Club of the Everglades, LTD. has projected that this mortgage can be paid out of the income of the Club operations without the necessity to increase dues above the 10% annual inflation limitation and without the necessity to assess the Members. This will enable the Golf Club of the Everglades, Ltd. to reduce the initial cost of Equity Memberships.

Q: How do I become a member of the Club?

A: A prospective member must first receive an invitation from the Club. The prospective member must submit a fully completed and signed Personal Information Sheet and a check for the amount of the Membership Contribution then due to the Club. A personal interview may also be required. The Club will determine whether the prospective member is qualified and will notify the prospective member of its determination. If the determination is not favorable, the Club will return the prospective member's payment without any interest thereon. If the determination is favorable, the prospective member will have fifteen days to execute a Membership Subscription Agreement and pay the balance of the Membership Contribution then due.
